B2B | Versatile Pioneers – Terms of Service

1. Acceptance of Terms

By accessing or registering an account on b2b.versatilepioneers.com (“the Platform”), you agree to be bound by these Terms of Service, all applicable international trade regulations, and South African commercial laws. If you do not agree to these terms, you are prohibited from using the Platform.

2. Description of Service

Versatile Pioneers operates as a digital trade facilitation infrastructure. We connect vetted, premium buyers and suppliers across the bulk commodities (mining, agriculture, food, energy) and luxury sourcing sectors. Versatile Pioneers is a facilitator, not a principal party, manufacturer, or ultimate supplier. All physical trade transaction terms are dictated by separate, binding sale/purchase agreements between the verified parties.

3. Membership Subscriptions & Fees

  • Account Tiers: Access to specific trading parameters, full specifications, and the “Request a Quote” engine is restricted to paid, verified members.

  • Fees: Subscription plans, vetting fees, or sign-up verification fees are billed in advance and are non-refundable, as they cover the operational costs of manual corporate vetting and KYC tracking.

  • Cancellation: Members may cancel their monthly recurring plan at any time through their “My Account” dashboard.

4. Non-Circumvention and Non-Disclosure (CRITICAL CLUSTER)

  • The Obligation: All users (including Buyers, Mandates, Brokers, and Suppliers) explicitly agree that they will not bypass, circumvent, or avoid Versatile Pioneers to conduct direct business with any contact, supplier, mine, producer, or buyer introduced by or identified through the Platform.

  • The Introduce Rule: If a user bypasses the Platform to conclude a transaction with a party introduced via Versatile Pioneers, Versatile Pioneers reserves the right to claim full compensatory facilitation commissions (brokerage fees) on all transactions concluded, alongside immediate platform termination and legal remedies.

  • NCNDA Execution: The submission of a formal Request for Quote (RFQ) or Supplier Registration triggers a mandatory requirement to sign an electronic Non-Circumvention, Non-Disclosure Agreement (NCNDA) prior to the release of unredacted technical or corporate paperwork.

5. User Responsibilities & Verification

Users agree to provide accurate, truthful, and up-to-date documentation during registration and RFQ submissions. Providing fraudulent Proof of Funds (POF), misleading corporate capacity, or fake inventory profiles will result in an immediate lifetime ban and reporting to relevant commercial regulatory bodies.

6. Limitation of Liability

Versatile Pioneers coordinates sourcing data in good faith based on supplier and buyer declarations. However, we do not warrant or guarantee the accuracy of independent chemical assays, commodity volumes, or financial performance. Versatile Pioneers shall not be held liable for any direct, indirect, or consequential losses, shipping delays, or financial defaults arising from transactions facilitated on the Platform.

7. Governing Law

These terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising out of the use of this platform shall be subject to the exclusive jurisdiction of the courts located in Johannesburg, South Africa.
